Custom Logo & OEM Terms & Conditions

These Custom Logo & OEM Terms & Conditions apply to all customized, OEM, private label, or branded products ordered through our website. By placing a custom or OEM order, you fully agree to the terms below.

1. Custom & OEM Order Definition

Custom and OEM orders include, but are not limited to:

  • Logo printing, embossing, debossing, or embroidery

  • Custom packaging or labeling

  • OEM designs, molds, or material specifications

  • Any product made according to buyer-provided artwork, specifications, or instructions

All such orders are considered custom-made products.

2. Final Sale Policy (Strict)

All custom logo and OEM orders are final sale.

Once production has started:

  • Orders cannot be cancelled

  • Orders cannot be modified

  • Orders are non-refundable and non-returnable

This applies regardless of sales performance, market changes, or buyer preference.

3. Artwork & Design Responsibility

  • Buyers are solely responsible for the accuracy, legality, and ownership of all logos, artwork, designs, and trademarks submitted.

  • We do not verify trademark ownership or copyright validity.

By submitting artwork, the buyer confirms that:

  • They have full legal rights to use the design

  • The design does not infringe on any third-party intellectual property

Any legal disputes arising from submitted designs are the buyer’s sole responsibility.

4. Proof Approval & Production Accuracy

  • Digital mockups, samples, or proofs are provided for reference only.

  • Production begins only after buyer approval of the final proof.

Once approved:

  • The buyer accepts the design, placement, size, and color

  • Minor variations between samples, mockups, and final production are considered acceptable

Approved proofs waive the buyer’s right to dispute design-related issues.

5. Color, Material & Size Tolerances

Due to mass production and material characteristics:

  • Exact color matching (including Pantone) is not guaranteed

  • Minor differences in logo placement, size, thickness, or finish may occur

These variations are considered normal and do not qualify as defects.

6. OEM Molds & Tooling

  • Any mold, tooling, or development fees are non-refundable once paid.

  • Ownership of molds remains with us unless otherwise agreed in writing.

  • We reserve the right to reuse general mold structures that do not contain exclusive buyer branding.

7. Production Timeline Disclaimer

All production timelines provided for custom or OEM orders are estimates only.

Delays caused by:

  • Design revisions

  • Sample approvals

  • Material sourcing

  • Factory scheduling

  • Force majeure events

do not constitute grounds for cancellation, refund, or compensation.

8. Custom Order Claims Policy

Claims related to custom or OEM orders will only be considered if:

  • There is a clear manufacturing defect, not a design preference issue

  • The claim is submitted within 7 calendar days of delivery

  • Clear photo and/or video evidence is provided

Claims related to:

  • Logo appearance

  • Color shade differences

  • Market expectations

  • End-customer complaints

will not be accepted.

9. Chargebacks & Dispute Prevention

Custom and OEM orders are exempt from chargebacks related to:

  • “Product not as expected”

  • “Not satisfied with quality”

  • “Design not suitable for market”

Unauthorized chargebacks or disputes may result in:

  • Immediate suspension of the buyer’s account

  • Refusal of future orders

10. Intellectual Property & Confidentiality

All custom designs, OEM concepts, and private label arrangements are treated as confidential.

However, unless explicitly agreed in writing:

  • We reserve the right to display non-branded product images for portfolio or marketing purposes

  • Exclusivity is not guaranteed

11. Governing Law

These Custom Logo & OEM Terms shall be governed by the same governing law stated in our Wholesale Terms & Conditions.
